MEXICO - TRAILER and SECUREMENT INTERCHANGE AGREEMENT

1. GENERAL

1.A.        Por valor recibido, este acuerdo hecho el dia 25 de Abril, 2014 entre CONEXUS, LLC. (de aquí en adelante “CONEXUS”) y Corporativo de Transporte Internacional S.A. de C.V., [de aqui en adelante  “Transportista Mexicano”].

1.B.        For value received, this Agreement made this April 25, 2014 between CONEXUS, LLC (hereinafter "CONEXUS”) and Corporativo de Transporte Internacional S.A. de C.V., (hereinafter “Mexican Carrier”).

2.A.        Por cuanto, CONEXUS es una empresa de Logística que intercambia plataformas de remolque y/o carga con empresas especificas de Autotransporte Mexicanas legalmente autorizadas en lo relacionado a la transportación de carga entre los Estados Unidos y México, y

2.B.        WHEREAS, CONEXUS is a U.S.A. brokerage company that interchanges trailers and/or cargo with Specific, legally authorized Mexican motor carriers in connection with cargo transportation  between the U.S.A. and Mexico, and

3.A.        Por Cuanto, el TRANSPORTISTA MEXICANO, es una empresa de autotransporte legalmente autorizada por las leyes mexicanas para celebrar acuerdos de transportación (incluyendo acuerdos de intercamabio donde estén involucrados tanto remolques como carga) así como para transportar legalmente carga de todo tipo, clase y descripcion desde y a todos los puntos o lugares en Mexico; y

3.B.        WHEREAS, MEXICAN CARRIER is a legally authorized motor carrier with all necessary authority under Mexican law to  execute transportation  agreements (including equipment interchange agreements involving trailers and cargo) and to lawfully transport cargo of all kinds, classes and descriptions to and between all points and places in Mexico; and

4.A.        Por cuanto, CONEXUS y el TRANSPORTISTA MEXICANO desean confirmar y adoptar reglas de operación, especificando las obligaciones y responsabilidades de cada uno en relación al equipo y carga de CONEXUS.

4.B.        WHEREAS, CONEXUS and MEXICAN CARRIER wish to confirm and adopt rules of operation setting forth the parties’ respective duties and responsibilities regarding CONEXUS’ equipment and cargo.

5.A.        Ahora y por lo tanto, en referencia a la transportacion ó embarques con los remolques y cargas de CONEXUS, CONEXUS y el TRANSPORTISTA MEXICANO acuerdan con los terminos estipulados en este convenio, y  cualquier apéndice o documento firmado, anexo al presente (al cual en lo sucesivo se le denominará "reglas de operación" ó "reglas"), que se mencionan adelante. Este convenio no establece ninguna relación de negocios entre CONEXUS y el TRANSPORTISTA MEXICANO,  este convenio solamente protege los intereses de CONEXUS y el TRANSPORTISTA MEXICANO con el propósito de manejar adecuadamente  el equipo de CONEXUS y /o el cargamento en el transporte mexicano.

5.B.        Now, therefore, for transportation or shipments involving CONEXUS’ trailers or cargo, CONEXUS and MEXICAN CARRIER, agree to comply with the following terms herein and any signed appendices or exhibits attached hereto. This Agreement shall not create any agency relationship between CONEXUS and MEXICAN CARRIER but are intended only to protect all parties’ interests in proper and timely handling of CONEXUS’ equipment and/or cargo in Mexican transport.

6.A.        A la solicitud de CONEXUS, el TRANSPORTISTA MEXICANO deberá celebrar el intercambio en el equipo y/o carga de CONEXUS a cualquier destino al interior de México. CONEXUS reserva el derecho de reusar o negociar con el TRANSPORTISTA MEXICANO que no reúna los estandares de operación de CONEXUS y/o  que no haya cumplido o violado este acuerdo y las reglas que del mismo se derivan.

6.B.        Upon CONEXUS’ request, MEXICAN CARRIER shall bring about the interchange of CONEXUS equipment and/or cargo to any destination within Mexico.  COENXUS has the right to refuse or to do business with MEXICAN CARRIER if MEXICAN CARRIER does not meet CONEXUS operation standards or which has breached or violated this agreement.

7.A.        Tanto CONEXUS o el transportista mexicano o ambos podrán inspeccionar las condiciones de el equipo intercambiado, mercancías, o embarques en tránsito en cualquier tiempo razonable, incluyendo pero no limitando a las inspecciones anteriores al intercambio de equipo carga o riesgo de perdida.

7.B.        Either CONEXUS or the MEXICAN CARRIER or both may inspect the condition of any interchanged equipment or goods or cargo in transit at any reasonable time including but not limited to, inspections prior to any transfer of equipment, cargo or risk of loss.

8.A.        Los Transportistas Mexicanos deberán mantener una poliza de seguro actualizada, y deberán proveer a CONEXUS con certificados u otras pruebas de dicho seguro. Adicionalmente, a petición de Melton y de acuerdo al Contrato con el Transportista Mexicano, el Transportista Mexicano deberá obtener de una compañía de seguros calificada, un seguro de carga valido para cada embarque individual. Para cada embarque, el TRANSPORTISTA MEXICANO y CONEXUS deberán ejecutar un acuerdo respecto al seguro de carga en la forma según se especifica en el Apendice C de este Convenio.

8.B.         MEXICAN CARRIER shall maintain valid insurance adequately covering CONEXUS’ equipment, and shall provide CONEXUS with certificates or other adequate proof of such insurance. In addition, upon Melton request and Mexican Carrier agreement, MEXICAN CARRIER shall obtain valid cargo insurance from a qualified Mexican insurance company on a per load basis.  For each load, MEXICAN CARRIER and CONEXUS shall execute an insurance agreement in the form as provided in Appendix B to this Agreement.

9.A.        El equipo de CONEXUS intercambiado con el TRANSPORTISTA MEXICANO deberá usarse solamente por el TRANSPORTISTA MEXICANO y solo para el servicio de transporte autorizado por CONEXUS.  El equipo de CONEXUS, sera devuelto posteriormente a su uso autorizado y no deberá usarse para prestar el servicio de transporte para o por terceras partes sin el consentimiento previo por escrito de CONEXUS. El TRANSPORTISTA MEXICANO no deberá transferir ninguna fianza, ni deberá subcontratar el uso, del equipo, carga ó mercancías que sean transportadas en el equipo de CONEXUS, sin el consentimiento previo por escrito de CONEXUS.

9.B.        CONEXUS’ equipment exchanged with MEXICAN CARRIER shall be used only by MEXICAN CARRIER and only for transport service authorized by CONEXUS.  CONEXUS’ equipment shall be timely returned to CONEXUS following its authorized use, and shall not be used to provide transport services to or for third parties without CONEXUS’ prior written authorization. The MEXICAN CARRIER shall not transfer any fianza and shall not subcontract its use of CONEXUS’ equipment nor its carriage of any cargo or goods being transported with CARRIER's equipment without CONEXUS’ prior written authorization.

10.A.        Participación en C-TPAT: TRANSPORTISTAS que estan participando en el programa “Sociedad Aduanas- Comercio Contra el Terrorismo” considera que la seguridad en la cadena de abastecimientos, es de suma importancia. Si un TRANSPORTISTA provee servicios que involucren embarques  que cruzan entre USA – México, el TRANSPORTISTA  deberá obtener el certificado de C-TPAT y a solicitud de CONEXUS, proporcionar documentación que haga referencia al status como participante de C-TPAT. Adicional a esto el TRANSPORTISTA deberá de proveer documentación referente al status de participación en cualquier programa de seguridad administrado por cualquier administración aduanal foránea.

En caso de que el Certificado de CTPAT sea anulado o suspendido por cualquier razon, el transportista notificara el terminal de Conexus el Laredo, TX por escrito o via correo electronico dentro de los siguientes cinco días a la suspensión.

10.B.        C-TPAT PARTICIPATION:  Carriers that are participating in the Customs-Trade Partnership Against Terrorism (“C-TPAT”) program consider supply chain security to be of the utmost importance.  If Carrier provides service hereunder that involves shipments that will cross the U.S. – Mexican border; Carrier shall be C-TPAT compliant and/or a certified C-TPAT participant and shall, upon request from Conexus, provide documentation referencing its status as a C-TPAT participant.  In addition, Carrier shall provide documentation regarding the status of participation in any supply chain security program being administered by a foreign customs administration. Should Carrier’s CTPAT certification be revoked or suspended for any reason, Carrier will notify Conexus’ Laredo Terminal Manager  in writing or via email within 5 days of the suspension.
