B. CONDICIONES GENERALES, GENERAL CONDITIONS

Art. 1 Generalidades; Generals

1.1 Estas Condiciones Generales han sido elaboradas con objeto de que sean aplicadas junto a las Condiciones Específicas (Parte A) del Modelo CCI de Contrato de Compraventa Internacional (Productos manufacturados destinados a la reventa). No obstante, también podrán ser utilizadas en cualquier otro contrato de compraventa. Cuando las Condiciones Generales (Parte B) se utilicen con independencia de las Condiciones Específicas (Parte A), cualquier remisión en la parte B a la parte A debe interpretarse como una remisión a las condiciones específicas acordadas por las partes. En caso de que exista contradicción entre estas Condiciones Generales y las condiciones específicas acordadas entre las partes, prevalecerán las condiciones específicas.

These General Conditions are intended to be applied together with the Specific Conditions (part A) of the ICC International Sale Contract (Manufactured Goods Intended for Resale), but they may also be in-corporated on their own into any sale contract. Where these General Conditions (Part B) are used independently of the said Specific Conditions (Part A), any reference in Part B to Part A will be interpreted as a reference to any relevant specific conditions agreed by the parties. In case of contradiction between these General Conditions and any specific conditions agreed upon between the parties, the specific con¬ditions shall prevail.

1.5 Ninguna modificación del Contrato será válida si no ha sido aceptada o conste por escrito. However, a party may be precluded by his conduct from asserting this provision to the extent that the other party has relied on that conduct.

Art. 2 Características de la mercancía.

2.1 Se establece que cualquier información relativa a las mercancías y su uso como el peso, la dimensión, el volumen, el precio, el color, y cualquier otra información que pueda figurar en el catálogo, prospecto, circular, publicidad, ilustración o tarifa del vendedor, tendrá carácter contractual, a no ser que expresamente se haga referencia en el contrato. 2.2 El vendedor será el propietario exclusivo de todos los derechos de propiedad intelectual e industrial relativa a la mercancía.

Art. 3 Control de mercancía antes de su expedición.

Inspection of the goods before shipment

Si las partes acuerdan que el comprador tiene derecho a examinar las mercancías antes de su expedición, el vendedor notificará al comprador que los productos están listos para ser examinados en el lugar convenido, en un plazo razonable antes de dicha expedición.

If the parties have agreed that the Buyer is entitled to inspect the goods before shipment, the Seller must notify the Buyer within a reasonable time before the shipment that the goods are ready for inspection at the agreed place.

Art.4 Precio

Price

4.1 En ausencia de disposiciones concretas sobre el precio, se aplicarán las tarifas del vendedor que estén en vigor en el momento de la conclusión del contrato. Si no existiera una tarifa establecida, se aplicarán los precios en vigor para productos del mismo tipo en el momento de la conclusión del contrato.

If no price has been agreed, the Seller's current list price at the time of the conclusion of the Contract shall apply. In the absence of such a current list price, the price generally charged for such goods at the time of the conclusion of the Contract shall apply.

4.2 Salvo disposición contraria, en el precio no se incluye el IVA y no puede ser modificado.

Unless otherwise agreed in writing, the price does not include VAT, and is not subject to price adjustment.

4.3 El precio indicado en el art. A-2 (precio contractual) incluye los gastos que corren a cargo del vendedor en virtud de este contrato. En consecuencia, en la hipótesis de que el vendedor hubiera soportado gastos que, con arreglo a este contrato, correspondieran al comprador (por ejemplo, los gastos de transporte o de seguro en caso de venta EXVV o FCA), el importe de dichos gastos no se incluirá en el precio que figura en el art. A-2 y el comprador deberá reembolsar al vendedor.

The price indicated under A-2 (contract price) includes any costs which are at the Seller's charge according to this Contract. However, should the Seller bear any costs which, according to this Contract, are for the Buyer's account (e.g. for transportation or insurance under EXW or FCA), such sums shall not be considered as having been included in the price under A-2 and shall be reimbursed by the Buyer.

Art. 5 Condiciones de pago

Payment Terms

5.1 Salvo disposición expresa en sentido contrario, o como resultado de una práctica establecida entre las partes con motivo de acuerdos anteriores, el pago del precio y del resto de cantidades a pagar por el comprador al vendedor se efectuará de forma diferida en los 30 días siguientes a la fecha de facturación. El importe debido se transferirá salvo disposición expresa a la cuenta bancaria del vendedor en el país del vendedor. Se considerará que el comprador ha satisfecho su obligación de pagar cuando dichas cantidades hayan sido recibidas por el banco del vendedor en fondos inmediatamente disponibles.

Unless otherwise agreed in writing, or implied from a prior course of dealing between the parties, payment of the price and of any other sums due by the Buyer to the Seller shall be on open account and time of payment shall be 30 days from the date of invoice. The amounts due shall be transferred, unless otherwise agreed, by teletransmission to the Seller's bank in the Seller's country for the account of the Seller and the Buyer shall be deemed to have performed his payment obligations when the respective sums due have been received by the Seller's bank in immediately available funds.

5.2 Si las parte acuerdan que el pago se efectuará de forma anticipada sin más indicaciones, se entenderá que se trata, salvo disposición en contrario, de la totalidad del precio y que deberá ser recibido por el banco del vendedor en fondos inmediatamente disponibles, como mínimo 30 días antes de la fecha acordada para la entrega, o lo antes posible durante el periodo acordado para la entrega. Si el pago anticipado se refiere sólo a una fracción del precio contractual, para las condiciones de pago del importe restante se aplicarán las reglas anteriormente descritas en este artículo.

If the parties have agreed on payment in advance, without further indication, it will be assumed that such advance payment, unless otherwise agreed, refers to the full price, and that the advance payment must be received by the Seller's bank in immediately available funds at least 30 days before the agreed date of delivery or the earliest date within the agreed delivery period. If advance payment has been agreed oniy for a part of the contract price, the payment conditions of the remaining amount will be determined according to the rules set forth in this article.
