En adelante y por razones de brevedad, el inmueble aquí descrito se denominará indistintamente, “EL INMUEBLE” o bien “LA PROPIEDAD”.

Hereinafter and for reasons of conciseness, the real estate herein described will be referred to indistinctly as “THE IMMOVABLE” or “THE PROPERTY”.

“EL OFERTANTE”  por medio de la presente ofrece a “EL PROPIETARIO” celebrar Contrato Traslativo de Dominio Irrevocable de la naturaleza jurídica que en su oportunidad se determine de conformidad con las Leyes Mexicanas vigentes, en relación a los derechos de  propiedad sobre el inmueble arriba descrito en la cantidad total de $_________ USD (__________ 00/100 moneda de curso legal en los Estados Unidos de Norteamérica)

“THE OFFERER” herein offers to “THE OWNER” to celebrate an Irrevocable Transfer of Domain Contract of the legal nature that will be opportunely determined in accordance with the Mexican Laws in force and in effect, with regard to ownership rights entailed to the property above described in the total amount of $ ___________ ( _precio total____________________) 00/100 legal tender of USA)

DEPOSITO DE GARANTIA (“escrow”):

Dentro de los (5) cinco días siguientes a la aceptación de la presente oferta por “EL PROPIETARIO”, y una vez satisfecha la condición indispensable marcada como PRIMERA, para la validez de la presente oferta que se estipula en el párrafo siguiente y a fin de garantizar el cumplimiento de las obligaciones que se deriven de la presente oferta, “EL OFERTANTE” realizará una transferencia bancaria a Armour Secure Insurance S.A. de C.V. (en adelante y por razones de brevedad, la empresa depositaria), $______ (____________________________) con el propósito de constituir un Depósito de Garantía de la modalidad conocida como “escrow”, que se sujetará a las condiciones que para el efecto se establecen en el contrato correspondiente.

On or before (5) five days, after the acceptance of the present offer by “THE OWNER”, if the indispensable condition marked as FIRST for the validity of the present offer stipulated in the following paragraph are satisfied and in order to guarantee the fulfillment of the obligations derived from the present offer, “THE OFFERER” will wire to Armour Secure Insurance S.A. de C.V., (hereafter for reasons of brevity, referred to as the “escrow” company) the amount of $__________ (______________10 %________________) to constitute a Guarantee Deposit (“escrow”), which  will be subject to the conditions that for the purpose are specified in the corresponding contract.

Dicho Depósito se denominará en adelante y para los efectos de la presente oferta como “DEPOSITO DE GARANTÍA”.

Said deposit will be hereafter and for the purpose of the present offer referred to as “GUARANTEE DEPOSIT”.

A la aceptación de la presente oferta por  “EL PROPIETARIO”, dicho contrato de “DEPOSITO DE GARANTÍA” será suscrito por las partes como parte integrante de la misma.

Esta cantidad formará parte del depósito total.   Este depósito no generará intereses y deberá ser aplicado a la contraprestación  total de la compra venta el día de la escrituración.

Upon the acceptance of the present offer by “THE OWNER”, said contract of “GUARANTEE DEPOSIT” (“escrow”) shall be subscribed by the parties as part of the present offer.

This amount will form part of the total deposit. This deposit will not generate any interests and shall be applied to the total purchase price at the formalization (closing day) of the public deed.

CONDICIÓN INDISPENSABLE PARA LA VALIDEZ DE LA PRESENTE OFERTA :

INDISPENSABLE CONDITION FOR THE VALIDITY OF THE PRESENT OFFER:

Aun cuando la presente oferta fuera aceptada por “EL PROPIETARIO” dentro del término de vigencia que más adelante se establece, la validez de la misma se supedita a la siguiente condición indispensable, la cual deberá ser totalmente cumplimentadas, a entera satisfacción de “EL OFERTANTE”; de lo contrario, la presente Oferta se tendrá por cancelada, quedando, por consiguiente, las partes liberadas de cualquier obligación derivada de la misma:

Even if the present offer is accepted by “THE OWNER” within the term of effect specified, the validity of said is subject to the fulfillment of the following indispensable condition, which shall be entirely fulfilled within the term set forth at “THE OFFERER´S” satisfaction; on the contrary, the present offer shall be considered canceled and the parties will be, therefore, liberated from any obligation derived from said:

PRIMERA:

FIRST:

Que el “PROPIETARIO” entregue a “EL OFERTANTE” el INVENTARIO de todos los muebles, enseres domésticos y arte que se incluyen en esta operación; Si dicho inventario no resultara satisfactorio a “EL OFERTANTE”, la presente condición se tendrá por insatisfecha y la presente oferta quedará cancelada, quedando, las partes liberadas de cualquier obligación derivada de la misma.

SEGUNDA:

Que “EL OFERTANTE” obtenga, a su cargo dentro de los 5 (cinco) días a la aceptación de esta oferta, y a través de un perito de su elección, una inspección y reporte ocular de ingeniería con la finalidad de verificar la condición general del inmueble y su estructura en el entendido de que si los resultados de dicho reporte no resultaran satisfactorios a “EL OFERTANTE”, la presente condición se tendrá por insatisfecha y la presente oferta quedará cancelada, quedando, las partes liberadas de cualquier obligación derivada de la misma.

That the “OWNER” delivers to “THE OFFERER” the INVENTORY OF ALL THE furniture, equipment and art included in this transaction; If the mentioned inventory  is not satisfactory, this condition will be considered unsatisfied to “THE OFFERER”, the present offer will be canceled and the parties released from any obligation derived from said.

SECOND:

That “THE OFFERER” obtains at his expense prior within 5 (five) days of acceptance of this offer, through a designate of their choice, an inspection in order to verify the general condition of the property, in the understanding that if the results of said inspection are not satisfactory to “THE OFFERER”, this condition will be considered unsatisfied, the present offer will be canceled and the parties released from any obligation derived from said.

A fin de verificar si las condiciones indispensables aquí estipuladas ha sido o no satisfechas, “EL OFERTANTE”  deberá informar ese hecho por escrito personalmente o vía facsímile a los Agentes, con anterioridad al día ______________, en el entendido de que si dicha notificación no se recibe antes de dicha fecha, la condición aquí especificada se tendrá por NO satisfecha.

To verify if the conditions herein stipulated have or have not been satisfied, “THE OFFERER” shall inform said fact in writing personally or via fax or email to the Agents, prior to _______deposit day 5 dias__________, with the understanding that if said notification is not received before said date, the condition herein specified will be considered as NOT satisfied.
